Welcome to Qoach, a student coaching platform operated by Qoach Technologies Limited (“Qoach”, “we”, “us” or “our”). These Terms & Conditions (“T&Cs”) form a legally binding agreement between you, the parent or guardian (“you”, “your”, “parent” or “Parent Client”) and Qoach, governing your purchase and use of Qoach’s coaching services for your child (“student” or “Student Client”). These T&Cs apply to Parent Clients and Student Clients worldwide.
By purchasing a session package or continuing with payment, you confirm that you have read, understood and agree to the following T&Cs:
Scope of Services
Qoach provides non-therapeutic coaching designed to support students’ academic performance, emotional wellbeing and personal growth.
Coaching is not counselling, therapy or medical advice. Coaches are not licensed mental-health professionals.
Sessions focus on developing executive functioning, confidence, communication and life skills.
Qoach may, where appropriate and with parental consent, liaise with schools or qualified professionals to ensure the best outcomes for the student.
Each coach is vetted and supervised under Qoach’s safeguarding policies.
Coaches operate under Qoach’s safeguarding policies and professional coaching standards aligned to recognised industry ethics (e.g., ICF Code of Ethics).
Packages and Duration
Qoach offers the following prepaid subscription packages:
5-Session Package – to be used within 10 weeks from the booking date
10-Session Package – to be used within 20 weeks from the booking date
15-Session Package – to be used within 25 weeks from the booking date
20-Session Package – to be used within 30 weeks from the booking date
Packages automatically renew on the earlier of: (a) the penultimate session being completed, or (b) the expiry of the usage period.
Five days before the renewal date, Qoach will notify parents of the upcoming renewal date and offer an option not to extend it. On renewal, your package rolls to the same number of sessions unless you request a change in writing at least 48 hours before the expected renewal trigger (final session or expiry date).
You may cancel the package renewal at any time by a written notice to office@qoach.net, and the cancellation will take effect at the end of the current package validity period. No further charges will occur after cancellation aside from any overdue amounts.
All sessions must be used within the validity window. Unused sessions will expire automatically. Unused sessions have no cash value and are non-transferable.
Subscriptions cannot be paused. This is a subscription product: it will auto-renew and you will be charged unless you opt out or cancel as described above.
Payments and Renewals
By purchasing a package, you authorise Qoach (and its payment processor) to collect payment automatically for renewals using your stored payment method.
Renewal payments occur when the penultimate session of a package is used or expires, whichever comes first.
No refunds are provided for unused, cancelled or missed sessions.
Refunds may only be issued at the sole discretion of Qoach management in exceptional circumstances.
You are responsible for ensuring payment details remain current and valid. Failure to maintain active payment information may result in suspension of services.
Price Changes. Qoach may update pricing from time to time. Any change will apply to the next renewal and Qoach will provide at least 7 days’ prior notice by email or in-app message.
Session Scheduling, Cancellation and Rescheduling
Sessions are scheduled directly between you, your coach and the student and recorded on Qoach booking platform.
Sessions cancelled 48 hours or more before the booked time may be freely rescheduled within the package period.
If you are a consumer residing in the EU or UK, you may have the legal right to cancel your purchase within 14 days from the date of initial purchase (cooling-off period) and receive a full refund, provided that coaching sessions have not commenced. If you schedule or attend a session during the 14-day cooling period, you acknowledge that the service has begun at your request and you waive any remaining right to cancel under these regulations.
Sessions cancelled less than 48 hours before the scheduled time are counted as used and deducted from your package.
Medical emergencies, with appropriate notice or documentation, may be rescheduled without penalty.
Student No-Show. If the student does not join within 15 minutes of the scheduled start time, the session is treated as used.
Coach Delay. If a coach is more than 15 minutes late and the session cannot be delivered, the session will be rebooked at no cost.
Medical Evidence. Medical emergencies may be rebooked without penalty on submission of reasonable supporting evidence within 7 days of the missed session. Qoach and your coach will make reasonable efforts to accommodate rescheduling within the package’s validity window.
Coach Substitution. Qoach may, acting reasonably, assign or substitute another suitably qualified coach provided by Qoach and approved by the Chief Coaching Officer to deliver any session(s). Where substitution is not possible within the package validity window due to Qoach’s fault, Qoach will either extend the window or credit the affected session(s).
Parents may request a change of a coach upon a 7 days’ notice to Qoach.
Duty of Care and Confidentiality
All coaches operate under Qoach’s Safeguarding Policy.
Conversations between coach and student are treated as confidential, to create a safe space for the student to share openly. Confidentiality will only be broken where: (a) the coach believes the student is at risk of harm to themselves or others; (b) there is a legal obligation to report; or (c) disclosure is necessary to protect wellbeing and safety.
Parents/guardians are encouraged to participate in periodic coach feedback sessions, but understand that the specifics of what a student shares in coaching are kept confidential between the coach and student, except in cases of risk of harm or legal obligation to report. The coach may share themes or progress indicators with you but detailed session content will not be disclosed unless required for safeguarding, legal compliance, or with the student’s (where of age) consent. This confidentiality framework is fundamental to the effectiveness of coaching.
Qoach coaches are trained in safeguarding and will comply with any applicable mandated-reporter laws. If a coach has reason to suspect abuse, neglect, or any danger to a minor, Qoach may notify schools, relevant professionals or authorities in addition to the parent.
Parent Involvement and Feedback
Parents are encouraged to participate in feedback sessions with their child’s coach.
The timing and frequency of feedback sessions are mutually agreed between parent and coach, though monthly check-ins are recommended.
Qoach may also periodically invite parents to complete satisfaction or progress surveys to enhance service quality.
Liability and Indemnity
Qoach’s services are delivered on a best-efforts basis. Results vary per student and are not guaranteed.
Qoach’s services and platform are provided “as is” and “as available,” without any warranty of any kind. We make no guarantees that the services will meet your expectations or achieve any particular outcome. To the fullest extent permitted by law, Qoach disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.
You are responsible for providing a safe, distraction-free space for your child's sessions. For younger students, a parent/guardian should remain nearby or available during the session. Qoach is not responsible for any harm, injury, or property damage occurring in the home or venue of the session. The Parent Client assumes full responsibility for the child's environment and safety during sessions.
Qoach is not liable for any delay, disruption, or failure in service delivery due to technical issues, internet connectivity problems, or software/hardware malfunctions beyond our control. The Parent Client and Student are responsible for ensuring a stable internet connection and functional device for sessions.
To the fullest extent permitted under English law, Qoach shall not be liable for any indirect, incidental, or consequential losses, including loss of profit or data. Qoach’s aggregate liability for direct losses in any package period is limited to the total fees paid by the client for that package.
Parents agree to indemnify and hold harmless Qoach, its directors, employees and coaches from any claim, loss or liability arising from or out of (i) your or your child’s use or misuse of the services, (ii) any breach of these T&Cs by you or the student, or (iii) any false information or misrepresentation provided to Qoach.
Nothing in these T&Cs limits liability for death or personal injury caused by negligence or for any statutory duty under English or DIFC law.
In no event shall Qoach be liable for any indirect, special, consequential or punitive damages (such as lost opportunities, emotional distress, loss of data or other) arising from use of our services. To the extent allowable by applicable laws and regulations, our total liability for direct damages in any package period is limited to the fees you paid for that period.
Qoach is not responsible for the services or actions of third-party providers we use. While we contract them to meet data protection standards, we aren’t liable for outages or breaches caused solely by those third parties. Similarly, any external resources (websites, apps, materials or others) suggested by coaches are for convenience; Qoach does not control or endorse third-party content and isn’t liable for it.
Termination by Qoach
Qoach reserves the right to suspend or terminate services immediately if: (a) a student or parent engages in abusive, threatening or unsafe behaviour; (b) fees remain unpaid after reminders; or (c) continuation of coaching is deemed inappropriate for the student’s welfare.
No refund will be provided, but Qoach may, at its discretion, assist with transition to an alternative professional if required.
Intellectual Property
All materials, templates, and resources provided during coaching remain the intellectual property of Qoach.
Parents and students may use these resources for personal learning only and may not reproduce, share or distribute them without written consent.
Data Protection and Global Privacy Standards
Sessions may be recorded for safeguarding, quality assurance, and training purposes. Qoach may use AI-assisted tools to generate internal notes or summaries. Parents and Students consent to such recording and processing. Parents and Students may not independently record sessions or distribute any session content without Qoach’s prior written consent. Qoach processes personal data in accordance with applicable data protection laws.
Where required, Qoach obtains verifiable parental consent before collecting or processing personal data relating to children under the applicable age threshold. Parents may request access to, correction of, or deletion of their child’s personal data in accordance with applicable law.
Qoach’s Data Protection and Global Privacy Standards (the “Standards”) provide detailed information on our data practices. We encourage parents to review it carefully with their child.
The Standards will be shared with you simultaneously with these T&Cs and form an integral part of these T&Cs.
Safeguarding Policy
Parents acknowledge that Qoach coaches are trained in safeguarding and may escalate concerns or disclose information to Parents or relevant authorities if a Student Client is at risk of harm, abuse or neglect.
Parents agree to provide a safe and appropriate environment for online sessions and remain responsible for the Student’s wellbeing outside the coaching sessions.
Where a coach reasonably believes a student may be at risk of harm to self or others, or where disclosure is required by law, the coach may disclose relevant information to (i) the Chief Coaching Officer, (ii) the Parent Client, and, where appropriate, (ii) the student’s school and/or relevant authorities.
You must provide a current emergency contact number and any relevant medical or behavioral information about the student. In case of an emergency or if the coach believes the student is in imminent danger, you authorize Qoach to contact you and/or appropriate authorities immediately.
Actions are logged in Qoach’s safeguarding register and retained in line with data-protection requirements.

Qoach’s Safeguarding Policy (the “Safeguarding Policy”) provide detailed information on our practices. We encourage parents to review it carefully with their child.
The Safeguarding Policy will be shared with you simultaneously with these T&Cs and form an integral part of these T&Cs.
Disclosure and Consents
Disclosure of Special Needs. You agree to disclose any known physical, mental or learning conditions of your child that might affect their coaching experience or safety. This information enables Qoach to make any appropriate accommodations or determine if referral to other services is needed. Qoach is not liable for any outcome arising from undisclosed conditions or needs.
Parent/Guardian Authority. You represent and warrant that you are the parent or legal guardian of the student and legally authorized to agree to abide by these T&Cs and provide consents for the student. Qoach relies on this representation and shall not be responsible for verifying custody or guardianship arrangements. You agree to indemnify Qoach for any claims or losses arising from false representation of your legal authority.
Adult Student Consent. If the Student Client is 18 or older (or has attained the age of majority in their respective jurisdiction), the student must themselves agree to these T&Cs (in addition to any parent/guardian who may be paying on their behalf). In such cases, references to ‘Parent Client’ in sections regarding consent and data privacy include the student and the student will have sole rights over their personal data.
Consent Transition. If the Student Client reaches the age of majority during a coaching package, he/she will be required to indicate acceptance of these Standards in their own capacity going forward. Qoach will seek the now-adult student's consent for continued coaching and data processing and the confidentiality provisions will thereafter apply primarily between coach and student.
Legal Age & Rights. Qoach treats all students under 18 as minors requiring parental consent, except where local law defines a higher age for majority or imposes additional requirements, in which case Qoach will follow the applicable law in the student’s region.
No Unsupervised Contact, Non-Solicitation
No Unsupervised Contact. All communications between coach and student should be through Qoach’s approved channels (the Qoach platform, official email or scheduled sessions). Coaches are not permitted to have unsanctioned private contact with students via social media, personal phone/email or in-person meetings outside the coaching sessions. Parents agree not to solicit such interaction. This is designed to ensure transparency and safety.
Non-Solicitation. During the term and for 12 months after the last session with a particular coach, you agree not to directly engage, solicit or employ any Qoach coach outside Qoach. If this occurs, you agree to pay a reasonable placement fee of AED 20,000 or equivalent in your local currency as determined by the foreign exchange rate of your local currency with AED as at the date of the breach of this provision.
Miscellaneous
Force Majeure. Neither party is liable for delay or failure caused by events beyond reasonable control. Sessions falling on public holidays may be rescheduled by agreement. Where force majeure prevents delivery within the validity window, Qoach may extend the window.
Variation. Qoach may update these T&Cs with 7 days’ notice. Any updates apply to future renewals only.
Entire Agreement. These T&Cs, including any referenced policies and standards, form the entire agreement between Qoach and you regarding the services and supersede all prior discussions or representations.
Conflicts. In case of conflict, these T&Cs prevail over any marketing materials and/or the content of the Qoach website.
Severability. If any provision of these T&Cs is held to be unlawful or unenforceable, that provision will be deemed severed from these T&Cs and will not affect the validity of the remaining provisions.
Non-waiver. No failure or delay by Qoach in enforcing any term shall be deemed a waiver of our rights
Assignment. Qoach may assign its rights and obligations under these T&Cs to a third party in connection with a merger, acquisition, corporate restructuring, or sale of assets, or by operation of law. Such assignment will not affect the provision of services to you. You may not transfer or assign your rights under these T&Cs to any other person without our written consent.
Third Party Rights. A person who is not a party to these T&Cs shall have no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these T&Cs.
Complaints. Complaints should be submitted to office@qoach.net. Qoach will acknowledge within two business days and aims to resolve within fourteen days.
Governing Law and Jurisdiction
These T&Cs are governed by the laws of England and Wales without regard to conflict of law principles.
Any dispute, controversy or claim arising out of or in connection with these T&Cs, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration under the Rules of the London Court of International Arbitration, which rules are deemed to be incorporated by reference into this clause, and you waive the right to bring or join any class action against Qoach.
i) The seat (legal place) of arbitration shall be London, England.
ii) The language of the arbitration shall be English.
iii) The tribunal shall consist of one arbitrator, unless the parties agree otherwise.
iv) The award of the arbitrator shall be final and binding upon the parties.
ACCEPTANCE
By completing payment or confirming your subscription, you acknowledge that you have read and understood these Terms & Conditions and agree to abide by them.
